Unigold Inc. Securities Acquired by Pinetree Capital

Pinetree Capital Ltd. (TSX:PNP) acquired ownership of 3,500,000 common shares and 1,750,000 common share purchase warrants of Unigold Inc. on March 9, 2012.

As quoted in the press release:

Each Warrant entitles the holder thereof to acquire one additional common share at a price of $0.50 until March 8, 2014. In the event that the Warrants are fully exercised, these holdings represent approximately 2.5% of the total issued and outstanding common shares of Unigold as of March 9, 2012, calculated on a partially diluted basis assuming the exercise of the Warrants only. As a result of this transaction, Pinetree and its joint actors collectively held, as at March 9, 2012, an aggregate of 26,092,000 common shares of Unigold, including the Common Shares, and rights to acquire an additional 4,000,000 common shares of Unigold upon exercise of certain convertible securities (the “Convertible Securities”), including the Warrants. Of these totals, Pinetree owns 21,637,000 common shares, including the Common Shares, and 2,500,000 of the Convertible Securities, including the Warrants (the “Pinetree Convertible Securities”), directly.
