Berkwood Resources Ltd. (“Berkwood”) (TSXV:BKR) announces it has received conditional approval from the TSX Venture Exchange and now will close and issue:
- 1,261,000 units at 29 cents for gross proceeds of $365,690 (amended). Each unit will be composed of one common share and one warrant, with each whole warrant exercisable into one common share at a price of 36 cents for a period of two years from closing.
- 5,844,581 flow-through units at 31 cents for gross proceeds of $1,811,820.11. Each unit will be composed of one flow-through common share and one warrant, with each whole warrant exercisable into one common share at a price of 36 cents for a period of two years from closing.
Finders’ fees of $76,745.60 cash and the issuance of an aggregate of 455,566 warrants will be paid/issued.
All securities will be subject to a four-month plus one day hold period from closing.
Proceeds of the private placement will be used to develop the Company’s properties located in Quebec and general working capital.
The issuance of the securities and the payment of the finder’s fee is subject to final approval of the TSX Venture Exchange.
