Alliance Growers Extends Deadline for Warrant Exercise Incentive Program at the Request of Warrant Holders

Alliance Growers Corp. (CSE:ACG) (FWB:1LA) (OTCQB:ALGWF) (“Alliance Growers” or “the Company)  (“Alliance” or the “Company”) On August 14, 2019 the Company announced Warrant Exercise Incentive Program (the “Program”) designed to encourage the early exercise of the Company’s outstanding common share purchase warrants (“Warrants”). The Program was originally open for a 13 day period (the “Early Exercise Period”) beginning on August 17, 2019 and ending on August 30, 2019 and at the request of certain warrant holders, the deadline has been extended to September 13, 2019

Commenting on the Warrant Incentive Program, President and CEO of Alliance Growers stated, “This Program is the first step to launch the Company’s financing initiatives. We are pleased with the responses to date. We are highly confident that once we receive a significant amount of warrants being exercised, we will see a steady improvement in our stock price over the coming weeks. This in turn will trigger the investment commitment by the New York Family Office. The proceeds will be expended to assist in the closing and initial financing of our HOCL exclusive distributorship in Canada and our East Africa Medical Cannabis Operation. These two projects address the cannabis investors desire to invest in cannabis companies with near-term revenues. Once these two projects are in place and the stock price is at an appropriate level, we will commence the $13,000,000 Open Shelf Short Form Prospectus Offering which is aimed at Institutions and Funds and will be available to private investors as well. We look forward to the continued support from our many loyal shareholders as we execute on our business plan in a very volatile cannabis market.

 

The Program includes warrants with exercise dates as follows:

Pursuant to the Program, the Company is offering an inducement to each eligible holder of the Warrants (collectively, the “Warrant Holders”) that exercises the Warrants during the Early Exercise Period that consists of”

A reduced exercise price of $.06 per common share; and

An additional common share purchase warrant (each an “Incentive Warrant)_ for each Warrant exercised, with each Incentive Warrant entitling the Warrant Holder to purchase common shares of the Company until 5:00 p.m. (Vancouver time) on such date as is two years from the date of issuance of the Incentive  Warrant at the following prices:

  • $0.10 per share for the first 6 months after the issuance of the Incentive Warrant;
  • $0.15 per share for the second 6 months after the issuance of the Incentive Warrant; and
  • $0.25 per share for the second year after the Issuance of the Incentive Warrant:

If, at any time during the two year term of the Incentive Warrants, the trading price of the common shares of the Company on the Canadian Stock Exchange exceeds the prevailing Incentive Warrant Exercise Price by 50% for 10 consecutive trading days the exercise price of the Incentive Warrants will be amended to 30 days commencing 7 days following the end of that 10 day period

The Company expects to use the proceeds to advance the HOCL Exclusive Canadian Distributorship opportunity and the East Africa medical cannabis farm-in operation and for general corporate purposes.

If Warrants are not exercised prior to the end of the Early Exercise Period or if a warrant holder does not qualify to receive Incentive Warrants, the Warrants will remain outstanding and continue to be exercisable on the same terms applicable to such Warrants as they existed prior to the Program.

The terms and conditions of the Program and the method of exercising Warrants pursuant to the Program will be set forth in an email to be delivered to each current Warrant Holder that the Company contacts.  Warrant holders who wish to participate in the Program will agree to exercise their Warrants and deliver the other necessary documents in consideration of the issuance by the Company of the Incentive Warrants.

Only holder of Warrants who are “accredited investors” under applicable Canadian securities laws, or who provide satisfactory evidence that they meet the requirements of an alternative exemption from the requirements of applicable Canadian securities law may participate in the Program.  U.S. holders of the Warrants are not eligible to participate in the Program.

The Incentive Warrants will be subject to a four month hold period from the date of the Incentive Warrant issuance pursuant to applicable Canadian securities laws.  No fractional Incentive Warrants will be issued and the number of Incentive Warrants to be issued shall be rounded down to the nearest whole number.

The common shares of the Company and Incentive Warrants to be issued pursuant to the Program have not been and will not be registered under the United States Securities Act of 1933, as appended (the “U.S. Securities Act”) of any state securities laws and may not be offered or sold within the United States or to or for the account or benefit of U.S. Persons (as defined in Regulation 5 promulgated under the U.S. Securities Act) unless registered under the U.S. Securites Act and any applicable state securities laws or an exemption therefrom is available.
