Private Placement consists of two parts:1. $161,800 was raised through the issuance of 2,022,500 non-flow-through units (“NFT Units”) at a price of $0.08 per NFT Unit, each NFT Unit consisting of one non-flow-through common share and one-half of a transferable share purchase warrant (“NFT Warrant”). Each whole NFT Warrant entitles the holder to purchase one additional non-flow-through common share in the capital of the Company on or before October 13, 2011 at an exercise price of $0.15 per share.
