Invictus (TSXV:GENE, OTC:IVITF, FRA: 8IS1) (“Invictus” or the “Company”) announces the completion of its previously announced bought deal offering of units (“Units”) pursuant to a short form prospectus through PI Financial Corp. and GMP Securities L.P. as co-lead underwriters, Canaccord Genuity Corp. and Echelon Wealth Partners Inc. (the “Underwriters”) and the exercise in full of the over-allotment option granted to the Underwriters to purchase an additional 1,500,000 Units (the “Offering”). In connection with the Offering, Eventus Capital Corp. served as a special advisor to the Company.
In connection with the Offering, the Company issued an aggregate of 11,500,000 Units at a price of C$2.00 per Unit for gross proceeds of C$23,000,000. Each Unit consists of one common share of the Company and one-half of one transferable common share purchase warrant (each whole common share purchase warrant, a “Warrant”). Each Warrant is exercisable to purchase one common share of the Company at an exercise price of C$2.40 on or before October 19, 2020.
The Company intends to use the net proceeds of the Offering for capital expenditures for expansion, acquisitions, working capital and for general corporate purposes.
