Green Growth Brands Inc. (CSE:GGB, OTCQB: GGBXF) (“GGB” or the “Company”) announced today it has issued an aggregate of 1,127,543 units (“Compensation Units”) at a price of $2.45 per Unit in satisfaction of a portion of the cash commission payable to the syndicate of underwriters of Company’s recently completed $50.2 million prospectus offering (the “Offering”) of units of the Company.

Green Growth Brands Inc. (CSE:GGB, OTCQB: GGBXF) (“GGB” or the “Company”) announced today it has issued an aggregate of 1,127,543 units (“Compensation Units”) at a price of $2.45 per Unit in satisfaction of a portion of the cash commission payable to the syndicate of underwriters of Company’s recently completed $50.2 million prospectus offering (the “Offering”) of units of the Company.

Each Compensation Unit is comprised of one common share of the Company (a “Common Share”) and one half of one common share purchase warrant of the Company (each full warrant, a “Compensation Warrant”).  Each Compensation Warrant entitles the holder thereof to acquire one Common Share (an “Underlying Compensation Common Share”) at a price of C$3.50 per Underlying Compensation Common Share, subject to adjustment in certain events, until August 22, 2022.

The Common Shares and Compensation Warrants issued pursuant to the Offering, and any Common Shares issued upon exercise of the Compensation Warrants, would be subject to a hold period of four months plus one day from the date of closing of the Offering.
