NOX acquired ownership and control over the Acquired Securities in the circumstances. Prior to the Acquisition, NOX had ownership or control over 607,900 common shares of the Issuer, or approximately 3.38% of the 17,985,976 then issued shares of the Issuer. After the Acquisition, NOX had ownership or control over 2,132,900 common shares of the Issuer, or approximately 10.93% of the 19,510,976 then issued and outstanding common shares of the Issuer.
