Vulcan Minerals Inc. (TSXV:VUL) announced its shareholders will vote on a spinout of some company assets into a new corporation.

The press release is quoted as saying:

Shareholders of the Company will receive one Red Moon share for every 3.812 shares of the Company they own on the relevant distribution record date which will be determined and announced upon acquisition of the required approvals of the plan of arrangement.
