Alpha Esports Tech Announces Clarification on Private Placement of CDN $1,500,000
Alpha Esports Tech Inc. (CSE: ALPA) (FSE: (9HN), (OTC PINK: APETF), (“Alpha” or the “Company”) announces, further to its news release dated October 21, 2021, that the Company intends to complete a private placement (the “Offering”) of CDN $1,500,000 or up to 6,000,000 units (the “Units”), and not up to 4,285,714 unit as previously disclosed, at a price of $0.25 per Unit. Each Unit will be comprised of one common share and one-half of one common share purchase warrant, with each whole warrant being exercisable to acquire an additional common share at a price of $0.35 for a period of twenty-four months. The Company intends to use the proceeds of the Offering for working capital and general corporate purposes.
The Company may pay finders’ fees to eligible parties who introduce subscribers to the Offering. All securities issued in connection with the Offering will be subject to a four-month-and-one-day statutory hold period in accordance with applicable securities laws. Completion of the placement remains subject to the approval of the Canadian Securities Exchange (the “CSE”).
