VANCOUVER, BRITISH COLUMBIA–(Marketwired – June 17, 2016) – Response Biomedical Corp. (“Response” or the “Company”) (TSX:RBM)(OTC:RPBIF) announces the closing of the first tranche of the non-brokered private placement (the “Private Placement”) previously announced by the Company on May 30, 2016. In its press release of June 16, 2016, the Company announced that it has entered into subscription agreements for up to 1,785,716 common shares at a price of U.S.$0.56 per share for total gross proceeds of approximately U.S.$1,000,000 in the Private Placement. Under the first tranche of the Private Placement, OrbiMed Advisors LLC (“OrbiMed”), an investment management firm focused on the healthcare sector and the Company’s largest shareholder, acquired 892,858 common shares for total gross proceeds to the Company of approximately U.S.$500,000. The second tranche of the Private Placement from Shanghai Runda Medical Technology Co., Ltd is expected to close in due course subject to certain regulatory approvals in China being received.
The Company has received the conditional approval of the TSX to list the common shares. Listing will be subject to satisfying all of the requirements of the TSX. The Company intends to use the net proceeds of the Private Placement to fund research and development and operating expenses and for general working capital purposes.
The Private Placement has been made on a non-brokered private placement basis exempt from prospectus and registration requirements of applicable securities laws. The securities issued pursuant to the Private Placement are subject to resale restrictions under applicable securities laws.

The Company has relied on the exemptions contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101 from the valuation and minority shareholder approval requirements of MI 61-101 in respect of OrbiMed’s participation in the Private Placement because the aggregate fair market value of the common shares purchased by OrbiMed is less than 25% of the Company’s market capitalization. A material change report in respect of the Private Placement will be filed in accordance with MI 61-101, but was not filed 21 days in advance of the closing of the first tranche of the Private Placement due to the Company’s desire to close the financing as quickly as possible.
