Energy Fuels Secures Major Rare Earth Land Position in Brazil

~58.3 square mile (~37,300 acre) heavy mineral sand position has potential to feed the Company's White Mesa Mill with rare earth element and uranium bearing natural monazite sand for decades

Energy Fuels Inc. ( NYSE American: UUUU ) ( TSX: EFR ) ( "Energy Fuels" or the "Company" ) is pleased to announce that it has entered into binding agreements (the " Purchase Agreements ") to acquire seventeen (17) mineral concessions (the " Transaction ") between the towns of Prado and Caravelas in the State of Bahia, Brazil totaling 15,089.71 hectares (approximately 37,300 acres or 58.3 square miles) (the " Bahia Project ").

Based on significant historical drilling performed to date, it is believed that the Bahia Project holds significant quantities of heavy minerals, including monazite, that will feed Energy Fuels' quickly emerging U.S.-based rare earth element (" REE ") supply chain. The Bahia Project has seen no previous mining, but several of the concessions have valid exploration and mining permits with the Government of Brazil . Therefore, the Company believes there is a clear path to moving the Bahia Project to production.

The Bahia Project is a well-known heavy mineral sand (" HMS ") deposit with over 3,300 vertical historic exploration auger holes drilled to date, indicating significant concentrations of titanium (ilmenite and rutile), zirconium (zircon), and rare earth elements (monazite). Importantly, the mineralization is at or near the surface, meaning the material is expected to be relatively easy to recover using standard, low-cost sand mining techniques, including the use of front-end loaders, excavators and/or dredges. Due to the drilling method used historically, drilling performed to date only averages 5.86 meters deep, or the average depth of the water table in the region. There is no reason to believe that mineralization stops at the water table. Therefore, the Company believes mineralization is open at depth. Energy Fuels' primary interest is in the monazite which contains both rare earth elements and uranium. Preliminary assay data indicates the monazite sand contained in the HMS concentrate ranges between 0.62% and 12.82% 1 , and the uranium contained in the monazite is expected to be comparable to typical Colorado Plateau uranium deposits.

The Bahia Heavy Mineral Sand & Rare Earth Project (CNW Group/Energy Fuels Inc.)

Energy Fuels plans to perform extensive exploration work over the next six months to further define and quantify the HMS resource at the Bahia Project. This is expected to include a comprehensive sonic drilling and geophysical mapping program to define the HMS grades and depths for the various mineral products, including the REE resources associated with the Bahia Project. The Company plans to engage industry leaders in mineral processing to complete a Preliminary Economic Assessment under NI 43-101 ( Canada ) and an Initial Assessment under SK-1300 (US) during late Q1 or early Q2 2023.

Based on preliminary, historical resource estimates, the Company believes the Bahia Project has the potential to supply approximately 3,000 – 10,000 tonnes per year of monazite sand concentrate to the Mill (depending on production rates), containing approximately 1,500 – 5,000 tonnes of total rare earth oxides (" TREO ") per year, potentially for decades. The Company expects to mine and produce an HMS concentrate at the site, which contains all the valuable minerals, including monazite. This HMS concentrate would then be shipped to an existing HMS facility for further refinement and separation of the monazite into a product Energy Fuels can process at the Mill. The Company is evaluating whether this further refinement and separation step could potentially be performed in Brazil . However at this time, the Company plans to ship lower concentrations of monazite sand for concentration at a U.S. facility. Preliminary internal projections indicate this latter option can be very cost-effective, despite the larger shipping quantities, as the less concentrated material will not require the more expensive Class 7 designation applicable to higher concentrated materials, and it can be shipped in bulk.

Under the Transaction, Energy Fuels has entered into Purchase Agreements with private mineral rights holders in Brazil to acquire seventeen (17) heavy mineral sand concessions comprising the Bahia Project, subject to a 90-day due diligence period. The total consideration for this acquisition is $27,500,000 in cash, with non-refundable deposits totaling $2,750,000 cash due on signing, and additional non-refundable deposits totaling $2,850,000 cash due at various benchmarks during the due diligence period, and the remaining $21,900,000 due at closing. Closing is expected to follow the 90-day due diligence period and is subject to Energy Fuels being satisfied with its due diligence investigations. The Purchase Agreements contain other customary terms and conditions for a transaction of this nature.

  • The Donald Project is an advanced-stage project with the potential to supply approximately 7,000 – 14,000 tonnes of monazite sand in a rare earth element (" REE ") concentrate (" REEC ") per year to Energy Fuels' White Mesa Mill (the " Mill "), located in Utah, U.S.A. , for processing into separated REE oxides, as early as 2026.
  • Under the joint venture, Energy Fuels has the right to invest AUD$183 million (approximately $122 million ) and issue $17.5 million in Energy Fuels shares to earn up to a 49% interest in the project.
  • Of these amounts, Energy Fuels expects to issue $3.5 million in Energy Fuels shares in 2024 and to invest approximately $10.6 million in 2024 from its existing working capital (approximately $225 million at March 31, 2024 ) , prior to making a final investment decision to proceed with the development of the first phase of the project. A positive final investment decision would require the approval of both Energy Fuels and Astron and would generally require commitments for satisfactory offtake and/or sales agreements for the REE oxides expected to be produced from REEC at the Mill, as well as commitments for non-recourse and/or government-backed debt financing for the project.
  • The REEC production of approximately 7,000 to 8,000 tonnes per year from the first phase of the Donald Project would be processed at the Mill's recently constructed REE oxide separation circuit, which is expected to be fully commissioned by the end of Q2 2024 and has the capacity to process up to 10,000 tonnes of monazite sand per year into up to 1,000 tonnes of NdPr oxide per year, along with a heavy mixed REE carbonate, without the need for any further capital expenditures at the Mill.
  • During 2024 and 2025, the Company also plans to continue to design, permit, and construct an expansion of REE oxide production capacity at the Mill to 40,000 – 60,000 tonnes of monazite per year, which is expected to be completed in 2027, and would have the capacity to process the second phase of monazite production from the Donald Project of 13,000 to 14,000 tonnes of REEC per year, which could be available as early as 2029/2030, as well as planned monazite production from the Company's Bahia Project in Brazil and the Company's planned acquisition of the Toliara Project in Madagascar .
  • The Company's REE production initiatives will not diminish in any way the Company's U.S. leading uranium production capabilities, which are proceeding as planned. The Company expects to produce approximately 150,000 to 500,000 pounds of uranium oxide (" U 3 O 8 " ) in 2024 from its U.S. mines and alternate feed materials ramping up to mining at a run-rate of approximately 1.1 million to 1.4 million pounds of U 3 O 8 per year later this year from three of its existing mines, with plans to increase mining to the rate of approximately 2 million pounds of U 3 O 8 per year by 2025 and up to 5 million pounds per year in coming years if market conditions continue to be positive, as expected.

All 240 cells for the first ABS60 BatteryPack Prototype have now been fabricated, assembled and initialized at Fraunhofer IKTS Hermsdorf's pilot plant.

To validate a homogeneous cathode material distribution, all cells were cycled through several testing stations at Fraunhofer IKTS Hermsdorf and Arnstadt.

IMPROVED CELL ELECTRODE DESIGN

During the fabrication of the two 60kWh CERENERGY(R) ABS60 BatteryPack prototypes, the Altech and Fraunhofer team made several design improvements to the cell's positive probe. These enhancements aimed to boost the cell's energy capacity and reduce the nickel content. The "V2" design of the positive probe allows for slightly faster charging and discharging while lowering the unit costs of the battery. Testing revealed that most cells had higher-than-expected energy capacities, an outstanding result that strongly supports the chosen electrode design. With all cells manufactured according to the series design and optimized processes, the best cells to date have been completed. The table below demonstrates that all the cells are meeting the expected specifications.

CELL CONTACTING SYSTEM COMPLETED

The Cell Contacting System (CCS) has undergone stringent testing and has now been completed and delivered by key supplier Hofer AG. The CCS was delivered to Fraunhofer IKTS in Dresden, where all parts of the modules will be collected to assemble each of the five modules. Each module contains 48 cells, that are currently being welded to the CCS by an external service provider.

After welding is completed, the ABS60 BatteryPack with its 60 kWh capacity can be completely assembled.

MODULE WELDING TRIALS

To guarantee the most time-efficient welding, a unique tool was designed and built at Xenon, which is responsible for welding and quality control across the 120 MWh battery plant. After completing the welding tool, it was shipped to an external laboratory, accompanied by a test module and several trial cells. The aim was to determine the best working parameters and to proof the handling of certain parts of the module.

The trials were successfully finished.

CELL MANUFACTURING PROGRESSING WELL

All 240 cells for the first ABS60 BatteryPack Prototype have been assembled and initialised at Fraunhofer IKTS, Hermsdorf. To validate a homogeneous cathode material distribution, all cells were cycled through several testing stations at Fraunhofer IKTS Hermsdorf and Arnstadt.

INTERIM CELL TESTING

At Fraunhofer IKTS in Hermsdorf, all cells were scanned using a unique X-ray microtomography device that enables the ability to look inside cells after they are hermetically closed. This is required to ensure the most homogeneous material distribution inside the cells as well as the best possible alignment of cell components e.g. electrode. The results have been excellent to date. Another quality assurance procedure involved cycling cells to ensure the electrical requirements and parameters are operating as designed.

MODULE WELDING AND BATTERYPACK ASSEMBLY

After every cell passed all quality checks, the modules containing the cells were shipped to the laboratory for welding onto the CCS. By using the predetermined parameters for welding, all modules have been successfully welded. After completion, the modules will be shipped to Fraunhofer IKTS, Dresden, where all five modules will then be mounted into the ABS60 BatteryPack and the first Prototype will be completed.

This will enable testing and demonstration to potential customers, to prove individual use cases for each customer.

ABOUT THE ABS60 - BATTERYPACK

The 60kWh Altech Battery Pack consists of five 12kWh modules with 48 cells each, mounted on top of each other and sealed in a thermal isolated stainless steel hood housing. The Battery management system is mounted at the base. To maintain thermal self-sufficiency, an insulation hood was designed, where the required heat of the system can be maintained inside the BatteryPack as long as possible, although the outer surface only has ambient temperature. This was achieved by using vacuum insulation. The base of each module is designed to accommodate folklift transport for easy mounting into the GridPack.
