Bathurst Minerals Closes Final Tranche of Non-Brokered Private Placement

Vancouver, British Columbia TheNewswire - August 15, 2025 Bathurst Metal Corp. (TSXV: BMV,OTC:BMVVF) ("Bathurst" or the "Company") is pleased to announce it has closed the second and final tranche of its previously announced private placement.  The Company issued 2,026,667 Units at a price of $0.075 per Unit for gross proceeds of $152,000.

Together with the first tranche which closed on July 22, 2025, the Company issued an aggregate of 4,543,334 Units at a price of $0.075 per Unit for gross proceeds of $340,750.

Each unit consists of one (1) common share and one (1) common share purchase warrant of the Company. Each whole share purchase warrant entitles the holder, on exercise, to purchase an additional common share of the Company at a price of $0.15 per share for a period of two years from closing. Finders' fees of 7% cash were paid on a portion of this tranche.

An insider of the Company was issued an aggregate of 500,000 Units through the insider's wholly-owned corporation. The insider's subscription constituted a "related party transaction" within the meaning of Multilateral Instrument 61-101 Protection of Minority Shareholders in Special Transactions (" MI 61-101 "). The issuance of the Units to the related party was exempt from the valuation requirement of MI 61-101 under the exemption in section 5.5(b) of MI 61-101 in that the Company's shares are not listed on a specified market, and from the minority shareholder approval requirements of MI 61-101 under the exemption in section 5.7(a) of MI 61-101 in that the fair market value of the consideration for the securities issued to the related party did not exceed 25% of the Company market capitalization.

The securities issued are subject to a four-month hold period.

Proceeds of the private placement will be used for working capital.
