Baru Gold Completes Shares For Debt Transaction

July 30, 2026 TheNewswire - Vancouver, BC - Baru Gold Corp. ("Baru" or the "Company") is pleased to announce that it has completed a debt settlement transaction (previously announced July 22, 2026) with Mercer Street Global Opportunity Fund LLC, an arms' length lender (the "Creditor") in the amount of $713,258.55 of debt through the issuance of common shares of the Company (the "Debt Settlement"). Pursuant to the Debt Settlement, the Company issued 14,265,171 common shares of the Company at a deemed price of $0.05 per common share to the Creditor.

 

The Debt Settlement of $713,258.55 is for a partial settlement of a convertible loan agreement dated July 15, 2022, which was amended July 10, 2026 from the Creditor to the Company (see new release July 16, 2026). The issuance of the common shares to the Creditor is subject to the approval of the TSX Venture Exchange. All securities issued will be subject to a four month hold period which will expire on the date that is four months and one day from the date of issue.
