Ucore Announces Automatic Conversion of Debentures

Ucore Rare Metals Inc. (TSXV: UCU) (OTCQX: UURAF) ("Ucore" or the "Company") is pleased to announce that the last $1.1 million of the convertible debentures that were issued by the Company in May of 2020 (the "Convertible Debentures" of "Debentures") have been automatically converted into equity as a result of the triggering of a conversion clause in the Debenture agreement related to the Company's share price over the past twenty trading days (the "Automatic Conversion"). As a result of the Automatic Conversion, the Company today issued 1,222,219 units ("Units") and none of the Debentures remain outstanding.

A total of 2,800 Convertible Debentures were originally issued in May of 2020 at a price of $1,000 per Debenture and they bore interest at 7.5% per annum. The terms of the Debentures were amended in 2024 (see the Company's press release dated January 11, 2024). After the amendment, the Debentures had a maturity date of January 31, 2026. The amended conversion price was $0.90 per Unit, with each Unit consisting of 1 common share of the Company (a "Common Share") plus ½ Common Share purchase warrant (a "Warrant"). Each full Warrant is exercisable by the holder to purchase one Common Share at a price of $1.30 per share for a period ending on the maturity date of the Debentures, being January 31, 2026.

Pursuant to the terms of the Debenture agreement, the outstanding principal amount of each Convertible Debenture is to be automatically converted into Units at the conversion price ($0.90) if the Common Shares traded at a closing price of $2.20 or more on the TSX Venture Exchange for 20 consecutive trading days. On September 2, 2025, the Company's Common Shares traded at a closing price above $2.20 for the 20th consecutive trading day. As a result, the Debentures automatically converted into Units of the Company as outlined above.

Since May of 2020, and prior to the triggering of the Automatic Conversion, a total of 1,700 Debentures had already been converted to Units of the Company at the election of the holders or repaid. As a result of the Automatic Conversion, the remaining 1,100 Debentures have now been converted, resulting in the issuance of 1,222,219 Common Shares and 611,108 Warrants, with the above-noted terms.

Certain of the Convertible Debentures which were automatically converted were owned by a related party of the Company. Specifically, Pat Ryan (Ucore's Chairman and CEO) held 10 of the Convertible Debentures (representing a principal amount of $10,000). The above-described transaction with Mr. Ryan is considered to be a related party transaction within the meaning of Multilateral Instrument 61-01 Protection of Minority Security Holders in Special Transactions ("MI 61-101"). The transaction is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101 since neither the fair market value of the subject matter of, nor the fair market value of the consideration for, the transaction, insofar as it involves interested parties, exceeds 25% of the Company's market capitalization. No new insiders and no control persons were created in connection with the closing of the transactions.

Ucore Rare Metals Inc. The work is taking place at the companies' laboratory partner's (Kingston Process Metallurgy Inc. ("KPM")) facility in Kingston, Ontario, Canada.

The Program was enhanced after Ucore received the independent evaluation of the RapidSXâ„¢ technology platform leading to the subsequent July 12, 2022, announcement of the nearly 3X increase in scope of the RapidSXâ„¢ REE demonstration-scale plant ("Demo Plant"). Since then, the Ucore, IMC, KPM, and Mech-Chem Associates, Inc.[ii] ("Mech-Chem") commercialization team (the "Team") has made significant strides in the procurement and construction process for the Demo Plant.

The final engineered layout of the Demo Plant takes up nearly all of the 5,000 square foot Commercialization and Demonstration Facility ("CDF") at KPM. And the concept of building a plant within an existing building is the go-forward transition template for the engineering process that the Team will replicate to create the first full-scale SMC, once the brownfield site[iii] selection process is finalized. This initial SMC is scheduled to produce 2,000 tonnes of total rare earth oxides ("TREOs") by the end of 2024 and 5,000 tonnes by 2026.

The original facility was for EUR2.5M and this has now been adjusted by mutual agreement to EUR2M. The full EUR2M has now been drawn down.

As announced to the ASX on 25 March 2025, the Company advised that it is in the process of selling its Malaysian land to help fund the ongoing development of the CERENERGY(R) battery project and the Silumina Anodes(TM) battery materials project, as well as to support general working capital requirements.

The Company also announced that it had entered into a binding Bond Note Subscription Deed with its major shareholder Deutsche Balaton AG, under which Altech could drawdown up to EUR2.5M in cash in the form of interest-bearing Bearer Bonds.

As the Bond Note Subscription Deed involved the Company granting a security interest over the Company's Malaysian land, shareholder approval was required. The Company convened a General Meeting on 13 May 2025 and shareholders approved all Resolutions put to the General Meeting. The Company then applied to have the Malaysian land security registered with the relevant land authority, being Johor Corp. Although there were no laws or regulations precluding Johor Corp from registering the land security, it considered Deutsche Balaton AG a 'non-lending foreign entity' and advised that accordingly it was not comfortable in registering the land security.

The Company's wholly owned subsidiary Altech Chemicals Sdn. Bhd. is the holder of the lease agreement over the Malaysian land. The only asset of value within Altech Chemicals Sdn. Bhd. is the lease agreement over the Malaysian land. In order to provide the security to Deutsche Balaton AG so as to drawdown the Bearer Bonds, the Company enforced security over the shares of Altech Chemicals Sdn. Bhd. in favour of Deutsche Balaton AG in lieu of the land security.

On 20 August 2025, the Company's wholly owned subsidiary Altech Chemicals Australia Pty Ltd (shareholder of Altech Chemicals Sdn. Bhd.) executed a Share Charge with Deutsche Balaton AG in connection with the Bond Note Subscription Deed. Pursuant to the Share Charge, Altech Chemicals Australia Pty Ltd has offered as a continuing Security for the due and punctual payment of all the requirements of the Bond Note Subscription Deed, charged all its rights, title and interest to all of the shares held in Altech Chemicals Sdn. Bhd. in favour of Deutsche Balaton AG. The Security is a continuing security and will extend to the ultimate balance of the due and punctual payment of all the requirements of the Bond Note Subscription Deed.

On 20 August 2025, the Company executed an Amendment Deed to the Bond Note Subscription Deed. Under the terms of the Amendment Deed, the agreed amount of bonds available to be drawdown was reduced from EUR2.5M to EUR2.0M. Additionally, the Company's Meckering land was offered as additional security for the due and punctual payment of all the requirements of the Bond Note Subscription Deed.

Altech Meckering Pty Ltd, the Company's wholly owned subsidiary and holder of the Meckering land, has entered into a mortgage over the Meckering Land in favour of Deutsche Balaton AG as a continuing Security for the due and punctual payment of all the requirements of the Bond Note Subscription Deed.
