Avalon Reports Drill Results from 2022-2023 Exploration Program at Separation Rapids

Avalon Advanced Materials Inc. (TSX: AVL) (OTCQX: AVLNF) ("Avalon" or the "Company") is pleased to announce final assays from the 2022-2023 drilling program at the Company's flagship Separation Rapids Lithium Project, confirming potential to significantly expand its lithium resource at depth. New significant intercepts shown below are from three of the four final drill holes.

  • SR23-85: 1.56% Li2O over 47.71 metres ("m")
  • SR23-91: 1.06% Li2O over 10.38m and 1.66% Li2O over 7.01m and 1.36% Li2O over 10.61m
  • SR23-92: 1.47% Li2O over 3.42m and 1.14% Li2O over 4.35m and 1.49% Li2O over 4.52m

The assays for drill hole SR23-93 (the fourth hole) have confirmed the petalite mineralization to 566-metre depth increasing the potential depth of the deposit by 80%. The drilling has also confirmed that the deposit is open to the east and west, and to depth, over a 300-strike length, with similar grades to the current mineral resource estimate, supporting a conceptual target to double the size of the deposit through future drilling.

Drilling Program Final Assay Details

The 2022-2023 drill program consisted of 12 drill holes on the existing resource and one vertical drill hole on the centre of the deposit; all 13 holes totalled 4,179m and was designed to examine the potential to expand mineralization to the east and west as well as the depth extent.

Hole SR23-85 (see Figure 1) was one of six targeting either gaps in existing drilling (for 85) or below the current mineral resource estimate, with hole SR23-85 intercepting 1.56% Li2O over 47.7m (estimated true width). As a result, all six holes (SR23-81 to SR23-86) confirm that the deposit is open to depth. All drill holes will be used to update the existing mineral resource estimate, which is currently underway.

Drill hole SR23-93 was drilled vertically to test the depth extent of the deposit (see Figure 2). This hole was terminated at 570m due to weather constraint and the start of early spring breakup. SR23-93 assays returned 1.51% Li2O over 565m (drilled width) confirming the previous report of visual petalite mineralization to depth. This extends the depth of the deposit by 249m from the previously reported deepest intercept at 315m (drilled in 2017) below surface. The grade of the lower half of hole SR23-93 returned 1.48% Li2O over 244.45m (from 321.6m to 566.10m) (see Table 1), which indicates that the mineralization continues at a virtually identical grade to the current mineral resource estimate.

The two holes (SR23-91 and SR23-92) that were drilled in a gap on the western part of the deposit have confirmed the extension and openness of the deposit to the west with intercepts of cumulative about 27m (estimated true width) in hole SR23-91 and cumulative 12 metres in hole SR23-92. They have also, similar to hole SR23-85, potentially improved and expanded the mineralized area.

All drill hole data has been brought into Avalon's database and resource block model in order to develop an independent updated resource estimate for the deposit.

Future Drilling at Separation Rapids

The recent drill program indicating the significant resource expansion potential is an encouragement for very significant future drilling program in order to both increase the inferred resources and upgrade inferred and indicated resources to indicated and measured categories. Such a program may be between 10,000m and 30,000m. The results of the recent program suggest a conceptual exploration target of doubling the existing resource estimate at similar lithium grades. This may be between 15 and 20 million tonnes at 1.2 to 1.6% Li2O. At present there is insufficient drilling below the recent holes SR23-81 to SR23-92 to delineate a resource and it is uncertain that a deeper resource will be delineated.

Notes to TABLE 1:

  1. True widths are estimated assuming the mineralized zones are vertical and true width is horizontal. The near vertical nature is clearly apparent in drill sections. "NA" indicates for the vertical hole that the mineralization width is not known.
  2. For interval calculations a cutoff grade of 0.50% Li2O was utilized which is similar to that used in previous resource estimates. Mineralized intervals with overall grades considerably below 1% Li2O are not quoted.
  3. All drill core was split by Avalon staff on site near Kenora and shipped to ALS Global in Thunder Bay for preparation and on to ALS Vancouver for analysis by methods ME-MS81, ICP-06, and ME-4ACD81for multielement analysis including Li, Ta, Cs and Rb.
  4. Some drill core samples had lithium values overlimits for the initial analytical method (>10.000ppm Li) and were reanalysed utilizing ALS method ME-ICP82b. As a result, some intervals increased in grade from those announced in News Release 23-04.
  5. Avalon inserted company certified lithium standards and blanks into the sample stream for QAQC purposes. The results of the Avalon and laboratory standards and blanks were reviewed for acceptance by the QP, Dr. Bill Mercer, P. Geo. (ON), qualified person for the purposes of National Instrument 43-101, prior to accepting the laboratory results.
  6. Lithium (Li) analyses in ppm were converted to Li2O values by multiplying by 2.1527.
  7. The drill program was supervised in the field by J.C.Pedersen (P.Geo) and A. Meek (P.Geo).

Avalon has issued to Sibelco, on a non-brokered private placement basis, 109,692,764 common shares of Avalon ("Common Shares") for aggregate proceeds of C$10,000,000 and a secured convertible debenture in the principal amount of C$3,000,000 (the "Debenture") (collectively, the "Private Placement").

The C$63-million transaction results in Antwerp -based Sibelco owning approximately 19.9% of the issued and outstanding Common Shares, and provides Avalon with a first tranche of funding to advance the Company's lithium production and processing goals across its suite of lithium mineral assets, led by Separation Rapids in northwestern Ontario . This new joint venture is expected to accelerate Avalon's core business objective of building a mid-stream lithium-hydroxide processing facility in Ontario .

Overview of Transactions

Strategic Financing

Pursuant to the terms of the Private Placement, Sibelco purchased: (i) 109,692,764 Common Shares at a price of approximately $0.091164 per Common Share (the "Per Share Price") for gross proceeds of C$10,000,000 which resulted in Sibelco owning approximately 19.9% of the issued and outstanding Common Shares; and (ii) the Debenture, which is a secured convertible debenture, providing for two advances to Avalon: (i) C$500,000 on the date hereof; and (ii) C$2,500,000 subject to the satisfaction of certain conditions precedent. The Debenture bears interest at 7.115% per annum and the principal and interest are payable on maturity, being two years from the date of the Debenture (the "Maturity"). To the extent not repaid at Maturity by Avalon, Sibelco will have the right to convert the outstanding principal amount of the Debenture and all accrued and unpaid interest thereon into either additional Common Shares at a conversion price equal to the Per Share Price, or an additional 5% interest in the joint venture corporation (the "JV Election"), as more particularly described below. The Debenture is a secured obligation, secured by a pledge of the shares of a subsidiary of Avalon subject to replacement security at defined milestones.

Avalon also granted to Sibelco, for so long as Sibelco holds not less than 10% of the issued and outstanding Common Shares on a non-diluted basis, the right to nominate one member to the board of directors of Avalon ("Board") (or up to two nominees if the size of the Board is increased to nine directors or more), and the right to participate in future equity offerings so that it can maintain its pro rata percentage ownership in Avalon. Sibelco also agreed to a 12-month standstill and certain resale restrictions placed on its holdings in Avalon.

The proceeds from the Private Placement will be used by Avalon to fund the acquisition of industrial land for a lithium-hydroxide processing facility in Thunder Bay, Ontario , and repayment of up to C$1.9 million of existing debt, and for working capital and general corporate purposes.

Joint Venture

Subject to the terms and conditions of the binding joint venture term sheet, Avalon and Sibelco have agreed to establish a joint venture with respect to Avalon's lithium projects, including Separation Rapids and Lilypad in northwestern Ontario . Sibelco, which will act as operator of the joint venture, has committed to invest €35 million (approximately C$50.4 million ) into the joint venture. Of this amount, €5 million is to be advanced concurrently with the contribution by Avalon of its interests in the Separation Rapids and Lilypad projects, with an additional €30 million to be advanced in tranches to fund the development of the joint venture mineral projects, including facilities and related infrastructure. After total cash contributions of €35 million by Sibelco, each of the parties will make any further cash contributions on a pro-rata basis (with dilution to a non-contributing party's interest). While the initial participating interests to be held on the formation date of the joint venture by Sibelco and Avalon will be 60% and 40%, respectively, such participating interests may change to 65% and 35%, respectively, if on the Maturity date of the Debenture Avalon fails to pay the full principal and accrued interest and Sibelco elects to exercise the JV Election.

The joint venture term sheet is binding on the parties. Avalon and Sibelco will work together to enter into a long-form joint venture agreement as soon as practicable with a view to execution on or before August 31, 2023 , but in any event not later than September 30, 2023 .

Avalon's new strategic goals are focused on both organic growth of its lithium portfolio, consisting of a suite of critical-mineral mining projects across Canada , as well as developing new related opportunities. By utilising its innovative proprietary technology, Altech has now improved on the previous 30% energy increase, by blending alumina-coated silicon particles (10%) with battery-grade graphite, to create a composite graphite/silicon anode for the lithium-ion battery electrode. Upon activation, this composite material has now exhibited a remarkable 55% increase in capacity compared to the traditional graphite-only anode material, See Figure 1.

In a series of tests, the Altech lithium-ion battery anode material exhibited an average energy retention capacity of approximately 500 mAh/g, which is significantly higher than the average of approximately 320 mAh/g for a normal lithium-ion battery anode. This represents an average of 55% increase in energy retention capacity. Importantly, the Altech Batteries demonstrated good stability and cycling performance, indicating that the technology is highly promising. Altech's technology has the potential to be gamechanging and has demonstrated that silicon particles can be modified to resolve the capacity fading caused by both the swelling and first-cycle-capacity-loss problems. Altech's Research and Development team, led by Dr. Jingyuan Liu, achieved this significant breakthrough.

Altech had previously declared a major achievement in the field of battery technology. The Company reported that it had overcome the "silicon barrier" and had manufactured and evaluated a range of lithiumion battery anode materials that exhibit a retention capacity of approximately 30% higher than the standard lithium-ion battery anode materials. Following this breakthrough, Altech's research and development laboratory in Perth, Western Australia has been striving to further enhance the technology beyond this initial success.

As the Company endeavoured to surpass the 30% retention capacity achieved in the previous generation of batteries by increasing the silicon content, it encountered challenges in dispersing the alumina-coated silicon particles. However, Altech managed to overcome these challenges by implementing improvements in organic binders, coating parameters, and several other innovative solutions. After persistent efforts, the final challenges were eventually resolved, allowing the Company to move forward with the development of the next generation of batteries.

Through laboratory testing of the composite graphite/silicon batteries, Altech was able to substantially overcome previously unresolved impediments associated with using silicon in lithium-ion battery anodes.

These impediments include silicon particle swelling, first-cycle capacity loss of up to 50%, and rapid battery degradation. Altech's testing showed that the innovative composite graphite/silicon batteries were able to overcome these challenges, by spherification of the silicon particles. The spherical structure allows the distribution of alumina-coated silicon in graphite voids, hence minimises the electrode layer damaging due to expansion, see Figure 3, and 4. By doing so, via the alumina coating, the negative impact caused by the expansion of silicon is well managed in a lithium-ion battery.

The lithium-ion battery industry has recognised the introduction of silicon in battery anodes as a crucial step in achieving a significant increase in energy density, as well as reducing costs. This is because silicon has approximately ten times the energy retention capacity of graphite, making it an ideal anode material for the next generation of lithium-ion batteries. However, until now, the use of silicon in commercial lithium-ion batteries has been limited due to two critical drawbacks. Firstly, during battery charge, silicon particles expand by up to 300% in volume, leading to particle swelling, fracturing, and eventual battery failure.

Secondly, silicon deactivates a high percentage of the lithium ions in a battery, immediately reducing battery performance and lifespan. The industry has been in a race to overcome these obstacles and crack the silicon barrier to unlock the full potential of silicon in lithium-ion batteries.

The Company completed a Definitive Feasibility Study for the construction of an 8,000tpa Silumina AnodesTM plant in Saxony, Germany, that included the following economics.
