Nouveau Monde Graphite Inc. ("Nouveau Monde" or the "Company") ( NYSE: NMG , TSXV: NOU ) is pleased to announce that Pallinghurst Graphite International Limited ("Pallinghurst"), the holder of a secured convertible bond in the principal amount of C$15 million (the "Convertible Bond"), as announced in the press release dated July 15, 2020, has converted the full outstanding principal amount of the Convertible Bond to common shares of the Company. This decision further demonstrates Pallinghurst's significant and continuing support for the Company and its ongoing project development initiatives, as it strives to become a key player in the sustainable energy revolution.

Importantly, all related security to secure the obligations of the Company under the Convertible Bond will be released and discharged, which will provide the Company with increased flexibility for its project financing initiatives, as it moves towards the next stage of development.

The Convertible Bond was converted in two tranches: 1,875,000 common shares were received by Pallinghurst on exercise of the first tranche and distributed by Pallinghurst to its investors, which include Messrs. Arne H Frandsen and Andrew Willis, who are directors of the Company. 5,625,000 common shares were subsequently issued to Pallinghurst in respect of conversion of the second tranche.

In addition, and pursuant to the terms of the Convertible Bond, the Company has elected to settle the accrued and unpaid interest owing under the Convertible Bond of C$1,900,463 by issuing an additional 220,471 common shares of the share capital of the Company (the "Interest Shares") at C$8.62 per Interest Share, in accordance with the rules of the TSX Venture Exchange. Following the issuance of the Interest Shares, all amounts payable pursuant to the Convertible Bond will have been settled in full.

Following the exercise of the Convertible Bond, the distribution to Pallinghurst investors, and receipt of the Interest Shares, together with its existing holdings, Pallinghurst, together with its subsidiary will own 11,541,014 common shares of the Company representing approximately 21% of the issued and outstanding common shares of the Company.

The payment of interest in the form of Interest Shares of the Company takes place in favor of Pallinghurst, a holder of more than 10% of the securities of the Company, which constitutes a "transaction with a related party" within the meaning of Regulation 61-101 on measures to protect minority holders during specific transactions ("Regulation 61-101") and within the meaning of Policy 5.9 of the Stock Exchange - Measures to protect minority holders during specific transactions . However, the directors of the Company have determined that the exemptions from the official valuation obligation and the approval of minority holders, provided for in sections 5.5 a) and 5.7 1) a) of Regulation 61-101 respectively, may be invoked as neither the fair market value of the shares issued to this insider nor the fair market value of the consideration exceed 25% of the market capitalization of the Company. No director of the Company has expressed a contrary opinion or disagreement in connection with the foregoing.

The issuance of Interest Shares is conditional upon the approval of the TSX Venture Exchange and the New York Stock Exchange, and will be subject to a hold period of 4 months and one day.

A material change report relating to this transaction with a related party will be filed by Nouveau Monde no later than 21 days prior to the date on which the Interest Shares are expected to be issued as the conditions in connection with the issuance of the Interest Shares were not determined.

Lomiko Metals Inc. The Circular mentions that the Share Purchase Agreement was entered into on July 31, 2020. The Share Purchase Agreement was subsequently amended with amending agreements dated December 10, 2019, June 20, 2020 and October 5, 2021. Due to Brexit and Covid-19, the transaction never closed, hence the reason shareholders are requested to consider and to approve a special resolution authorizing another extension of the Share Purchase Agreement in the Circular for a new closing date of November 30, 2022.

South Star Battery Metals Announces Successful LiB Results from Completed Cycle Testing and Premium Dispersion Products for Alkaline Battery Markets Superior to Leading Synthetic Graphites

South Star Battery Metals Corp. (" South Star " or the " Company ") (TSXV: STS) (OTCQB: STSBF), along with its technological partner in the United States ("US Lab" 1 ), are pleased to announce the successful final life cycle testing results for over 100 cycles (charging and discharging) in CR2016 LiB coin cells constructed with anode material (coated spherical purified graphite "SPG") produced from the Santa Cruz Graphite Project. In separate test work, a highly conductive dispersion was also tested that exceeds current industry standards for conductive coating applications in both energy storage and advanced purity dry film lubrication markets.

South Star's cycle testing program is complete and exceeded 100 cycles for the LiB cells. One cycle consists of 10 hours of charge and 10 hours of discharge, therefore 100 cycles equal approximately 2,000 hours total. The tests indicate very stable results with approximately 2.2% degradation through 100+ cycles while maintaining reversible capacity on the order of 342 – 345 mAh/g throughout. If these results were projected out, approximately 900 cycles could be achieved before reaching the 20% industry standard cutoff. These results are generally competitive with synthetic graphite and indicates that the Santa Cruz's battery anode material are excellent quality material that are suitable for a variety of LiB applications including EV markets. Upcoming work includes sample preparation of various downstream products so that the qualification process can begin along with processing flowsheet optimizations and performance validation. NextSource Materials Awards Contract to Power Its Molo Graphite Mine in Madagascar with Hybridized Solar-Thermal Energy

NextSource Materials Inc. (TSX:NEXT)(OTCQB:NSRCF) ("NextSource" or the "Company") announces it has awarded a power supply contract to independent power producer CrossBoundary Energy ("CBE") for the long-term supply of solar and thermal generation to power the operations of its Molo graphite mine in Madagascar. The contract is for a 20-year term and has been designed to scale with the production output of the Molo mine, where delivery of power will increase in lockstep with all future expansion capacity requirements

A subsidiary of CBE in Madagascar is developing the project and will build, own, and operate the Molo hybrid energy power plant ("hybrid plant") at no capital cost to NextSource. It will be located adjacent to the Molo mine site and is expected to be operational at the same time as the Molo mine is expected to commission in Q2 of 2022. Through this contract, NextSource will initially be able to source up to one third of the Molo mine's total electricity needs from renewable solar energy. NextSource and CBE are committed to optimizing the solar component throughout the contract to increase the percentage of renewable energy to a majority.
