Sutter Gold Mining Inc. (TSXV:SGM,OTCQX:SGMNF) the completion of the second and final tranche of a non-brokered private placement for gross proceeds of USD$151,990.20.

As quoted in the press release:

All common shares issued pursuant to the Private Placement are subject to a four-month hold period expiring May 16, 2013. Completion of the Private Placement is subject to the approval of the TSX Venture Exchange.
